1. Acceptance of Terms

By accessing or using the SkyReserve website (skyreserve.ai) and related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Platform. These Terms constitute a legally binding agreement between you and SkyReserve.

2. Description of Services

SkyReserve operates a technology platform that connects travelers with private aviation operators offering empty-leg flights, on-demand charters, and related travel services. Our Platform includes:

• Real-time empty-leg flight search and booking
• On-demand charter requests facilitated through our operator partners, including Pinnacle Aviation
• Grace, an AI-powered travel assistant that provides personalized recommendations
• Co-flyer matching to connect compatible travelers on shared routes
• Aircraft comparison tools
• Travel concierge services

3. SkyReserve as a Marketplace

SkyReserve acts as a marketplace and technology intermediary. We do not own, operate, or maintain any aircraft. All flights are provided by independent, third-party aircraft operators. While we verify that operators meet our safety and certification standards, the contractual relationship for air transportation is between you and the operator. SkyReserve is not a direct or indirect air carrier.

4. Eligibility

You must be at least 18 years of age to use our Platform. By using our services, you represent and warrant that you have the legal capacity to enter into these Terms and that all information you provide is accurate and complete.

5. User Accounts

Certain features may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. SkyReserve reserves the right to suspend or terminate accounts that violate these Terms.

6. Bookings and Payments

Flight Bookings

All flight bookings made through the Platform are subject to availability and confirmation by the operating carrier. Quoted prices may be subject to change until a booking is confirmed. Prices displayed on the Platform include the base charter cost and applicable SkyReserve service fees unless otherwise stated.

Payments

Payment terms, including deposits and final payments, will be communicated at the time of booking. All payments are processed through our secure payment partners. You agree to provide accurate and complete payment information.

Cancellations and Refunds

Cancellation policies vary by operator and flight type. Specific cancellation terms will be provided before you confirm any booking. SkyReserve service fees may be non-refundable in certain circumstances. In the event of operator-initiated cancellations, we will work to rebook you or provide a full refund.

7. Co-Flyer Matching

The co-flyer matching service connects travelers who wish to share flights on similar routes. By opting into co-flyer matching, you agree to share limited profile information with potential matches. SkyReserve does not guarantee compatibility, availability, or that a match will result in a shared flight. All participants in co-flyer arrangements must individually agree to the terms of any shared booking.

8. AI Travel Assistant (Grace)

Grace provides AI-generated travel recommendations and assistance. While we strive for accuracy, Grace's responses are informational and should not be considered guaranteed offers, professional travel advice, or binding commitments. Flight availability, pricing, and details should always be confirmed through the booking process.

9. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Provide false, misleading, or fraudulent information
• Interfere with or disrupt the Platform's operation or security
• Scrape, crawl, or use automated means to access the Platform without our written consent
• Attempt to gain unauthorized access to any part of the Platform
• Use the Platform to transmit spam, malware, or other harmful content
• Impersonate any person or entity

10. Intellectual Property

All content on the Platform — including text, graphics, logos, software, the SkyReserve brand, and Grace AI technology — is owned by SkyReserve or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission.

11. Limitation of Liability

To the maximum extent permitted by law, SkyReserve shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to SkyReserve in the twelve months preceding the claim. SkyReserve is not liable for the acts, omissions, delays, or cancellations of any aircraft operator or third-party service provider.

12. Indemnification

You agree to indemnify and hold harmless SkyReserve, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

13. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. SkyReserve does not warrant that the Platform will be uninterrupted, error-free, or secure. We do not endorse or guarantee any specific operator, aircraft, or flight, and we disclaim all liability for the safety, quality, or legality of flights arranged through the Platform.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

15. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Platform after any changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.
